TERMS AND CONDITION

The TealHouse website is owned and operated by TealHouse Inc., a Kansas corporation, together with its affiliates, subsidiaries, and partners (“TealHouse,” “we,” “our” or “us”). These Terms and Conditions (the “Terms”) govern your use of this website, our mobile applications or website, and any other linked and related pages (collectively, the “Sites”), as well as the offer and sale of products available for purchase on the Sites (“Product”).    

Please read these Terms carefully before using the Sites or ordering any Products from them. When you access, browse, or use our Sites or any of their features, or purchase Products from the Sites, you accept and agree to, without limitation or qualification, the Terms set forth below, as well as our Privacy Policy which is hereby incorporated into these Terms.     

1. Use of Site                          
The Sites are only for the personal use of individuals 18 years of age or older who reside in the United States.    

By accessing the Sites, you agree that you will:
  • Provide accurate, current, and complete information about you as may be prompted by any forms for the Sites (“Personal Information”). 
  • Keep any password or other account information which permits access to the Sites or any part of the Sites strictly confidential and shall not divulge it to any third party.
  • Not use the Sites for any unauthorized use including, but not limited to, unauthorized entry, misuse of passwords or misuse of any other information. 
  • Not delete or alter, in part or in whole, any copyright, trademark, audio, images, software, text, artwork, video clips or any other materials (the “Content”) from any part of the Sites.
  • Not copy, perform, publish, transfer, create derivate works from distribute, exchange, modify, sell, transmit or otherwise commercially exploit or use any Content from the Site, for any purpose other than personal use, including but not limited to any business, commercial, or public purpose.
  • Only access the Sites and their Content for your own internal non-commercial use only.
  • Not use the Sites in any manner that could damage, disable, overburden, or impair the Sites or interfere with any other party’s access to or use of the Sites.
  • Not attempt to gain unauthorized access to the Sites, computer systems or networks connected to the Sites, through hacking, password mining or any other means.
  • Not use the Sites or networks connected to them to commit or encourage a criminal offense, to insert, transmit or distribute viruses or corrupt data, whether to the Sites or otherwise, or to send any unsolicited advertisement or other promotional material or “spam”.
  • Not engage in any activities related to the Sites that are contrary to applicable laws, rules or regulations.
  • Not use the Sites for any purpose that is unlawful or prohibited by these Terms.

As long as you comply with these Terms, TealHouse grants you a non-exclusive, non-transferable, limited right to enter, display, and use the Sites and Services (defined below). You agree not to interrupt or attempt to interrupt the operation of the Sites or any Services offered through the Sites in any way. Notwithstanding anything to the contrary, TealHouse reserves the right, without notice and in its sole discretion, to cancel or restrict your access to and use of any portion of or the entirety of the Site or Services offered through the Sites. You understand and agree that we may do so without any liability whatsoever.    

2. Content of the Site    
We may, from time to time, make newsletters, messaging services, chat services, bulletin boards, message boards, blogs, other forums, new product updates and other such services available on or through the Sites (the “Services”). In addition to any other rules or regulations that we may post in connection with a particular service, you agree that you shall not upload, post, transmit, distribute or otherwise publish through the Sites or any of the Services, any materials which:
  • Restrict or inhibit any other user from using and enjoying the Sites or the Services;
  • Are fraudulent, unlawful, threatening, abusive, harassing, libelous, defamatory, obscene, vulgar, pornographic, profane, sexually explicit or indecent or otherwise offensive to human decency;
  • Constitute or encourage conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law;
  • Violate or infringe the rights of third parties including, without limitation, copyright, trademark, trade secret, confidentiality, contract, patent, rights of privacy or publicity or any other proprietary right;
  • Contain a virus, spyware, malware or other harmful component;
  • Contain embedded links, advertising, chain letters or pyramid schemes of any kind;
  • Constitute or contain false or misleading indications of identity, origin, endorsement or statements of fact.

3. Ownership    
The Site contains Content owned by or licensed to TealHouse ("TealHouse Content"). TealHouse owns and retains all rights in the TealHouse Content, including all intellectual property rights. TealHouse hereby grants you a limited, revocable, non-sublicensable license to reproduce and display TealHouse Content (excluding any software code) solely for your personal, non-commercial use to view the Sites and otherwise as necessary to use the Services. Except as expressly permitted by these Terms, you shall not copy, capture, reproduce, perform, transfer, sell, license, modify, manipulate, create derivative works from or based upon, republish, upload, edit, post, transmit, publicly display, frame, link, distribute, or exploit, in whole or in part, TealHouse Content. You shall not remove any copyright or trademark notices or other notices that accompany it. Except as set forth above, nothing contained in these Terms shall be construed as conferring by implication, estoppel or otherwise any license or right under any trade secret, patent, trademark, copyright or other intellectual property right of TealHouse or any third party. All licenses not expressly granted by TealHouse are reserved.    

4. Trademarks and Copyrights
Ownership of and all right, title and interest in and to all intellectual property rights (including all registered and unregistered rights granted or applied for, now or hereafter existing, in or related to patent, trademark, service mark, copyright, trade secret rights, or other intellectual property rights) in the Services, Sites, and TealHouse Content are and shall remain with TealHouse or its licensors. You acquire only the right to use and access the Services, TealHouse Content and Sites pursuant to these Terms, and you do not acquire any ownership rights or title in or to the Services, TealHouse Content or the Sites.


“TealHouse Inc.,” the TH logo, #TealBottoms, TealBottoms, the Teal Soles mark, and all TealHouse product and service names, are trademarks or service marks of TealHouse or its affiliates (collectively, the “Marks”).
All copyright-protected graphic images including, but not limited to, photographs and other visual depictions of TealHouse Products (“Images”) are owned by TealHouse or its affiliates. Except as otherwise permitted in these Terms, no right or license to use the Marks or Images is granted under this Agreement. You have no rights, title, or interest in or to the Marks or the Images and you shall not adopt, use, or attempt to register any of the Marks or Images.

5. Infringement of Intellectual Property Rights    
You may not post, modify, distribute, or reproduce in any way copyrighted material, trademarks, or other proprietary materials without obtaining the prior written consent of the owner of the rights to such material. We reserve the right to deny you access to the Site or the Services if you are alleged to infringe another party’s intellectual property rights including, but not limited to, rights of copyright and trademark.

Without limiting the foregoing, if you believe that your rights of copyright have been infringed, please contact us at CopyrightAgent@TealHouseInc.com and include the following information:
  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • A description of the copyrighted work that you claim has been infringed;
  • A description of the location on the Site of the material that you claim is infringing;
  • The address, telephone number, and e-mail address of the person authorized to act on behalf of the copyright owner;
  • A written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

6. Terms of Sale
The following section applies to the purchase of any TealHouse Products from the Sites.

A. Descriptions of Products and Services    
We strive to provide complete, accurate and up-to-date descriptions and visual representations of all Products displayed on the Sites. We make no representation or warranty whatsoever as to the reliability, accuracy, timeliness, usefulness or completeness of any information or graphic images on the Site or available through the Services. The Sites may contain typographical mistakes, inaccuracies, or omissions, some of which may relate to pricing and availability, and product information. We reserve the right to correct any errors, inaccuracies or omissions, including after an order has been submitted and to change or update information at any time without prior notice.

There may be some variations between the color of Products as shown on our Sites and the actual color of the Product. This is because computer monitors display colors differently and everyone may see colors differently. We strive to ensure our photos are as life-like as possible, but please understand the actual color of the Product may vary slightly from your monitor. We cannot guarantee that the color you see accurately portrays the true color of the Product.    

B. Availability of Products and Services    
Our Products offered on the Sites may not be available or accessible in your particular state or locality. We make no representation or warranty that any specific Product will be available at any time in your particular location.    

Furthermore, TealHouse reserves the right to alter, modify, add or discontinue completely any of the Products or Services, temporarily or permanently, at any time, in its sole discretion, without notice and without liability.    

C. Your Representations to Us    
The products offered for sale and sold through the Sites are intended for your personal use only and not for resale. By placing an order through the Sites, you warrant that you are purchasing the Product(s) only for personal use. We, in our sole discretion, reserve the right to refuse to fill any orders which we believe are intended for resale.    

D. Purchases
Subject to availability, orders can be placed online directly through our Sites or in person at one of our events. Although we make every effort to keep sufficient stock of items listed on our Sites, occasionally we do sell out of certain styles. If an item that you ordered is out of stock, we will notify you via e-mail. Online purchases may be made by residents of the U.S. for delivery to customers located in the U.S., including Alaska and Hawaii. We are unable to deliver online purchases to other places at this time.
If you wish to cancel or modify your order, please send an email as soon as possible to CustomerService@TealHouseInc.com. We will make every effort to accommodate your request. However, once we have begun to process your order, we cannot guarantee that the purchase can be cancelled or modified.

We reserve the right to refuse any order placed through the Site. We reserve the right to limit the quantity of products we supply, to supply only part of an order or to divide up orders.

E. Pre-Orders
If your pre-order a Product from us, please note that product arrival dates and estimates and are not guaranteed. We will inform you if for any reason your order fulfillment is delayed or cannot be completed. For preorders only, your payment method will be charged in full only once your order is shipped to you. A small authorization charge may be held on your credit card or other method of payment until that time.

F. Pricing and Payment
Prices displayed on the Sites are quoted in U.S. dollars and are exclusive of sales tax. Sales tax will be automatically calculated and added to your order during checkout. The actual sales tax will be calculated when your order is placed and may vary from the estimated tax. While we try to ensure that all prices on our website are accurate, errors may occur. If we discover an error in the price of the merchandise you have ordered, we will give you the option of reconfirming your order at the correct price or canceling it. If we are unable to contact you within 48 hours, we will treat the order as cancelled. You agree that the risk of loss or damage to products you order passes to you on delivery of the Products, provided that we have received payment in full for the Products.
Any promotion code or discount issued to you cannot be transferred onto a new order and cannot be redeemed for cash or store credit. We will provide the conditions of use relating to any discount or promotion code at the time of issue.
We accept the following forms of payment: Visa, MasterCard, Discover, American Express, and PayPal. Your method of payment will be charged at the time you submit your order.

G. Gift Cards & Online Credit
Click here to be directed to our gift card page. Please provide the gift card details and amount, add it to your bag, and then proceed to checkout as you would with any other purchase. The recipient will receive the gift card via email on the date provided by the purchaser. All of our gift cards are virtual and we do not offer physical cards.
We may offer virtual funds that can be applied to a future order (“Online Credit”). Online Credit is available from gift cards or, in some circumstances, issued as a refund. You can redeem your Online Credit by clicking the “redeem” button located in your gift card email. You can apply Online Credit under order summary or on the billing stage of check out. Online Credit has no expiration unless otherwise communicated.

H. Order Processing and Delivery
Orders are processed and delivered Monday through Friday, excluding holidays. Order processing time begins 48-72 business hours after an order has been submitted. All orders are subject to review, and TealHouse reserves the right to request additional identification, billing and shipping information. The billing information provided must be able to be verified and must match what your bank has on file. Please ensure the card holder is available to confirm the order details. When you place an order on our website, we will only charge your payment method once we have verified your payment details, received authorization, confirmed stock availability, and your order is ready to be shipped.

All orders are shipped via USPS, and ground shipping is included with your purchase. International shipping is available for $125. TealHouse online purchases will require an adult signature upon delivery. Should you not be available to sign for your package, we can arrange a will call at your local USPS facility on your behalf. Purchases may not be shipped to P.O. boxes or APO/FPO addresses. We do not ship to Freight Forwarders, hotel locations, or any establishments at our sole discretion that may pose a risk to the security of the package. TealHouse is not be responsible for unanticipated delays in shipping. We are unable to re-route your package to a new address.     

We will provide a link for you to track the progress of your package in your shipment confirmation email. An email confirmation is automatically emailed to once your purchase has been shipped. Please note that delivery dates are estimates and are not guaranteed.

TealHouse assumes no responsibility after a package has been signed for. Once you have received your order, if you are not completely satisfied or if there is a discrepancy with your order, please retain all documentation and packaging and contact us immediately by sending an email to CustomerService@TealHouseInc.com.

I. Return and Exchange Policy    
Our Return Policy governs purchases made through our Sites. We strongly advise all customers to check merchandise thoroughly upon delivery before wearing and before disposing of any original packaging. For any discrepancies with your order please contact us immediately. Please note the following:
  • Any merchandise purchased online and in-person must be returned and/or exchanged via USPS mail.    
  • Any item that is discounted or has been deemed final sale cannot be returned or exchanged.

For online and in-person purchases TealHouse will accept merchandise in its original condition for refund/exchange when accompanied by the original invoice.     

Returned merchandise must include the original shoe box, dust bags, and heel caps. Your return shipment must be postmarked within fourteen (14) days from receipt of your order. Shipping costs are non–refundable.

All shoes must be tried on for fit and size on clean, carpeted surfaces only until you are sure that you will be keeping them. Our teal bottom soles are very delicate and we cannot accept returns on shoes that appear worn or damaged. The teal bottom sole must be in perfect condition. Returning shoes of which the soles appear damaged may result in a refurbishment fee or may be refused if unable to be refurbished for sale. We reserve the right to refuse a return or exchange for any reason.

Return Instructions 
Instructions for returning merchandise are included with each shipment. However, they are included here for your convenience.
To request a return, please email at CustomerService@TealHouseInc.com per the following instructions. In the subject line, please include “Return Order” followed by a dash, your order number, and first and last name. For example, Return Order - #00001 Amy Smith. In the body of the email, please include a reason for the return, images of the Product you are returning, and your contact information (name, email, phone number, and address).

Once we receive your email, we will review and send you a confirmation email. If your return has been approved, you will receive an email with additional return instructions. If you are located in the United States, you will receive a shipping label. If you are located outside of the United States, you are responsible for your own shipping and insurance. You must postmark your return within 14 days of receiving your return approval.


The following MUST be included with your return. We reserve the right to refuse any return or exchange that does not include the following items:
  • Original receipt and/or order confirmation email
  • Original shoe box
  • All dust bags included with the shoes

DO NOT use the original shoe box as the shipping box. Affix the prepared return label (if applicable). Drop off your return package at a staffed shipping store, and please collect a receipt and/or your tracking number. DO NOT use a drop box location as these are not as secure.

TealHouse reserves the right to refuse any return or exchange on merchandise that does not meet the above requirements. If your package is not accepted, it will be sent back to you and a refund will not be granted.    Additionally, we will not assume responsibility for reimbursement or compensation in the event a return package is lost, stolen or mishandled. Please keep all tracking details for your records.    


Refunds and Processing Time 
We use commercially reasonable efforts to ensure a prompt refund. Once your return is received it will be inspected. If the condition of the merchandise is acceptable then a credit will be issued to the original form of payment within 10 business days of receipt. Please note that depending on your financial institution, it may take additional 2-10 business days for the credit to post to your account. Once your return has been processed, we will send an email notification to the email address you originally contacted us from.    

Exchanges
We will accept merchandise in its original condition for an exchange when accompanied by the original receipt. We use commercially reasonable efforts to ensure a prompt exchange.

To request an exchange, please email at CustomerService@TealHouseInc.com per the following instructions. As the Subject, please include “Exchange Order” followed by a dash, your order number, and first and last name. For example, Exchange Order - #00001 Amy Smith. In the body of the email, please include a reason for the exchange, images of the Product you are exchanging, your requested new item, and your contact information (name, email, phone number and address).

Please follow all of the procedures and requirements above to return your merchandise to our facility. Alternatively, you may submit a new order as your exchange, return the original item and your original purchase will be refunded to the original form of payment. If your desired size, style, or color is not available online, please contact us for further assistance.    

We can facilitate a onetime direct exchange on an order upon request. Please note that a direct exchange can only be facilitated for a different size of the same style, or for another item of the exact same value. An exchange is subject to availability of the requested item at the time of processing and we will do our best to ensure your request is satisfied. Should the requested item not be available to fulfill your exchange, a refund will be issued to the original form of payment. We offer free ground shipping on your exchanged item(s).     


7. Product Care
A little self-care goes a long way. Here’s how to take care of your purchase.

A. Teal Bottoms
Please be advised that the teal bottom soles of our shoes will become worn with regular use. Do not worry, this is not a defect of the shoe and is expected to happen from normal use similarly to other luxury products with colorful soles.

B. Vegan Leather
Not only does vegan leather make you look good, it also makes you feel good because it’s cruelty-free. With the following proper care, you can keep your shoes looking good for the long-term.

  • Keep your shoes’ surface clean and dry, using a dry, soft cloth.
  • Always clean your shoes by hand.
  • Always store your shoes away from excessive light, heat, rain, and humidity.
  • When not in use, store your footwear in the TealHouse dust bag provided.
  • Avoid contact with abrasive surfaces.

C. Warranty
We guarantee our Products for three months from the date of purchase. This warranty covers only items that present a manufacturing fault, and does not cover damages arising from dye transference, accident or misuse, excessive wear, or from any alterations, services, or repairs performed by a third party. Please email us at CustomerService@TealHouseInc.com to submit a warranty claims with proof of purchase. We reserve the right to approve or deny warranty claims, and our decisions are final. We are not liable for any cost or damages incurred due to loss or use of the Product.

D. Repairs
Should you need to repair or refurbish an item purchased online please contact a repair specialist. As we’re still fairly new, we don’t have any ongoing relationships with repair specialists (though we’d love to one day). So for now, we assume no responsibility nor endorse or approve any repair specialists, or any of the products or services they offer.

Consumers who make use of a repair or refurbish specialist have the sole responsibility for evaluating the suitability of the locations, their operations and the results of any repairs they conduct.

8. Right to Modify    
We reserve the right to add to, change, remove or otherwise modify any part of these Terms at any time, without notice. Any changes to these Terms will be effective immediately upon posting of the updated Terms to this webpage. Continuing to use the Sites after any changes are posted constitutes your acceptance of and agreement to be bound by any changes. Furthermore, TealHouse may add, change, discontinue, remove, modify or suspend any other Content, Services, or Products posted on the Sites, temporarily or permanently, at any time, without notice and without liability.    

9. Disclaimer of Warranties and Damages    
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITES, SERVICES, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” AND AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, TEALHOUSE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, TITLE, AND NON-INFRINGEMENT. FURTHERMORE, TEALHOUSE DOES NOT WARRANT THAT THE SITES, SERVICES, CONTENT AND PRODUCTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, BE ACCURATE OR COMPLETE, THAT THE USE OF THE FOREGOING WILL BE UNINTERRUPTED, TIMELY, ERROR FREE OR SECURE, THAT DEFECTS IN THE OPERATION OR FUNCTIONALITY OF THE SITE, SERVICES, OR CONENT WILL BE CORRECTED, OR THAT THE SITE, SERVICES OR CONTENT WILL BE VIRUS FREE.    

10. Limitation of Liability    
TO THE FULLEST EXTENT UNDER APPLICABLE LAW, TEALHOUSE’S TOTAL LIABILITY AND YOUR EXCLUSIVE REMEDY UNDER OR RELATED TO THESE TERMS AND THE SERVICES PROVIDED IS LIMITED TO DIRECT MONEY DAMAGES NOT EXCEEDING ONE HUNDRED ($100) US DOLLARS. THE EXISTENCE OF MULTIPLE CLAIMS DOES NOT ENLARGE THE LIMIT. IN NO EVENT WILL TEALHOUSE, ITS AGENTS OR SERVICE PROVIDERS, BE LIABLE FOR ANY CONSEQUENTIAL, DIRECT, INCIDENTAL, INDIRECT, PUNITIVE, OR SPECIAL DAMAGES THAT RESULT FROM (I) THE USE OR MISUSE OF THE SITES, SERVICES OR PRODUCTS; (II) THE INABILITY TO USE THE SITES OR SERVICES; OR (III) ERRORS OR OMISSIONS IN THE CONTENTS AND FUNCTIONS OF, THE SITES OR SERVICES, WHETHER SUCH CLAIM ARISES IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF TEALHOUSE HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. General Provisions    
These Terms and any additional terms posted on the Sites together constitute the entire agreement between TealHouse and you with respect to your use of the Sites and the Services as well as your purchase of our Products. Our failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of these Terms. TealHouse may assign its rights and duties under these Terms to any party at any time without notice to you.    

Any alleged claim or cause of action you may have with respect to your use of the Sites or the Services or our Products must be commenced within one (1) year after the alleged claim or cause of action arises. You hereby waive your right to a jury trial in any such action. If, for any reason, a court of competent jurisdiction finds any provision of these Terms, or any portion thereof, to be unenforceable, that provision or portion shall be deemed severable, and shall not affect the validity and enforceability of any remaining provision of these Terms. These Terms shall be governed by and construed in accordance with the laws of the State of Kansas without reference to its conflicts of law rules. Furthermore, you agree and consent to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in Topeka, Kansas.
